PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THESE TERMS CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY AND DISCLAIMERS OF WARRANTIES.

1. Overview

These Terms of Service (“Terms”) are a legally binding agreement between you and Reload Tech Inc. (“Reload,” “we,” “our,” or “us”).

Reload operates multiple products and services, including EPIC (available at epic.dev) and Reload (available at withreload.com) (collectively, the “Services”).

These Terms govern your access to and use of all Services operated by Reload Tech Inc.

By accessing or using the Services, including through third-party editors or development environments, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you may not use the Services.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

2. Description of the Services

The Services include software tools and platforms designed to support AI-powered system architecture, technical planning, documentation, agent workflows, and related functionality.

EPIC is primarily delivered as an extension and integrated experience within supported code editors, including but not limited to Cursor and Visual Studio Code. EPIC operates inside these environments to provide architectural context, system guidance, and related outputs alongside your development workflow.

The Services may change, evolve, or be discontinued at any time. We reserve the right to modify, suspend, or discontinue any part of the Services without notice.

3. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms.

4. Accounts, Editor Integrations, and Security

Certain features require you to create an account and install the EPIC extension within a supported editor.

By using EPIC within an editor, you acknowledge and agree that:

  • EPIC operates within the permissions granted by the editor platform

  • EPIC may access files, project structure, metadata, prompts, and other contextual information only as necessary to provide the Services

  • You are responsible for ensuring you have the right to use and share any code or content made accessible to EPIC

You agree to:

  • Provide accurate, complete, and current information

  • Maintain the confidentiality of your account credentials

  • Be responsible for all activity that occurs under your account

You must notify us immediately of any unauthorized use or security breach. Reload is not responsible for losses caused by compromised credentials or editor misconfiguration.

5. License to Use the Services

Subject to these Terms, Reload grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services, including editor extensions, for your internal business or personal purposes.

You may not:

  • Copy, modify, distribute, sell, lease, or sublicense the Services

  • Reverse engineer, decompile, or attempt to extract source code

  • Use the Services to build or train competing products or services

  • Circumvent access controls, security mechanisms, or usage limits

All rights not expressly granted are reserved by Reload.

6. Paid Services and Billing

Some Services require payment.

By purchasing a paid plan, you agree to:

  • Pay all applicable fees at the prices in effect at the time of purchase

  • Provide valid and up-to-date payment information

Payments are non-refundable unless otherwise stated in writing. We may suspend or terminate access for non-payment. You are responsible for applicable taxes.

7. User Content and Project Data

You retain ownership of any content, prompts, code, configuration files, documentation, or other materials you submit, generate, or make accessible through the Services (“User Content”).

By using EPIC, including within an editor, you grant Reload a limited, non-exclusive license to access, process, store, and use User Content solely to operate, maintain, and improve the Services, including providing architectural context and AI-generated outputs.

Reload does not claim ownership of your User Content.

8. AI Output Disclaimer

The Services use artificial intelligence and automated systems to generate outputs.

You acknowledge and agree that:

  • Outputs may be inaccurate, incomplete, or outdated

  • Reload does not guarantee correctness, security, or suitability of outputs

  • You are solely responsible for reviewing and validating outputs before implementation

The Services do not provide legal, financial, security, or professional advice.

9. Acceptable Use

You agree not to use the Services to:

  • Violate applicable laws or regulations

  • Infringe intellectual property or privacy rights

  • Upload malicious code or disrupt systems

  • Misrepresent identity or affiliation

  • Collect or misuse personal data without authorization

We may suspend or terminate access for violations of this section.

10. Third-Party Platforms and Editors

The Services integrate with third-party platforms, including code editors and development tools such as Cursor and Visual Studio Code.

Reload does not control and is not responsible for:

  • The operation, availability, or security of third-party editors

  • Changes made by third-party platforms that affect functionality

  • Any data handling practices of those platforms outside the scope of the Services

Your use of third-party platforms is governed by their respective terms and policies.

11. Intellectual Property

All Services, software, extensions, designs, trademarks, logos, and content (excluding User Content) are owned by Reload Tech Inc. and protected by intellectual property laws.

You may not use Reload or EPIC trademarks without prior written permission.

12. Feedback

If you provide feedback, ideas, or suggestions, you grant Reload a perpetual, irrevocable, royalty-free license to use them for any purpose without restriction or compensation.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELOAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELOAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

IN NO EVENT SHALL RELOAD’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO RELOAD IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Reload, its affiliates, officers, employees, and agents from claims arising out of your use of the Services or violation of these Terms.

16. Termination

We may suspend or terminate access to the Services at any time, with or without notice. Upon termination, your right to use the Services ceases immediately.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction and venue.
